1. Introduction

By accessing or using the WorldKey website, mobile application, or any related services ("Services"), you agree to this Legal Notice along with our Terms of Use and Privacy Policy (collectively, the "Agreement"). If you do not agree, you must discontinue use immediately. This Agreement forms a binding contract between you and WorldKey Elite LLC.

2. Service Overview

WorldKey is a private membership platform that connects verified members to premium dining, lifestyle, nightlife, and professional networking experiences. WorldKey provides member identification, venue partner relationships, loyalty credits, and direct booking access. WorldKey is not a concierge service and does not book reservations on behalf of members. Members initiate and complete reservations directly with venues using their member credentials and any benefits associated with their membership.

3. Member Responsibility

Members are solely responsible for:

• Initiating, confirming, and honoring their own reservations.
• Communicating directly with venues regarding cancellations, modifications, and special requests.
• All charges, deposits, minimum spends, and gratuities owed directly to venues.
• Compliance with each venue's house rules and dress code.
• Any third-party fees or penalties arising from their bookings, including no-show or late-cancellation fees imposed by venues.

4. No Guarantee of Access

Membership grants access to the WorldKey platform, member benefits, and curated venue partnerships. It does not guarantee any specific reservation, table, ticket, or experience. All venue access is subject to availability, venue discretion, and applicable house policies.

5. Membership Eligibility

• You must be 21 years of age or older to become a member.
• Membership requires identity verification and may require additional professional verification.
• Memberships are personal, non-transferable, and subject to approval.
• WorldKey reserves the right to suspend or terminate membership for misuse, non-payment, or conduct inconsistent with our community standards.

6. Liability Disclaimer

• WorldKey is not a party to any reservation, transaction, or service rendered by a third-party venue or vendor.
• WorldKey makes no warranty regarding the quality, safety, or availability of any venue or experience.
• WorldKey is not liable for any injury, loss, damage, or dispute arising from a member's use of any venue or third-party service.
• Our maximum aggregate liability shall not exceed the amount paid by the member to WorldKey in the twelve (12) months preceding the claim.
• WorldKey disclaims all implied warranties, including merchantability and fitness for a particular purpose.

7. Indemnification

You agree to indemnify and hold harmless WorldKey, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from:

• Your use or misuse of the platform;
• Your conduct at any partner venue;
• Your violation of any venue's policies or applicable law;
• Your breach of this Agreement.

8. Intellectual Property

All logos, trademarks, content, software, and technology on the WorldKey platform are owned by WorldKey Elite LLC or its licensors. You may not reproduce, distribute, modify, or create derivative works of any portion of the platform without prior written consent.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Both parties waive the right to a jury trial and to participate in any class action.

10. Modifications

WorldKey may update this Legal Notice from time to time. Updated versions will be posted on the WorldKey website with a revised effective date. Your continued use of the Services after any such update constitutes acceptance of the revised terms.
